Terms of Service

Welcome to Propel. These Terms of Service ("Terms") constitute a legally binding agreement between you and Propel ("we", "us", or "our") governing your use of the Propel website and software (collectively, the "Services"). By using the Services, you agree to be bound by these Terms and our Privacy Policy. Please read them carefully.

1. Acceptance of Terms

By creating an account and using Propel services, you confirm that you are at least 18 years old and consent to these Terms and our Privacy Policy.

The following definitions apply to all user agreements:

  • "Affiliate" means any entity directly or indirectly controlling, controlled by, or under common control with a Party.
  • "Client Data" means all data, content, and information submitted or generated by Client through use of the Services.
  • "Confidential Information" means all non-public information disclosed by a Party to the other, whether orally or in writing, that is designated or reasonably understood as confidential.
  • "Effective Date" means the date of the last signature of the relevant agreement.
  • "Platform" or "Propel Platform" means the online learning and knowledge management platform operated by Propel and provided as a service.
  • "Services" means the Platform and any related configuration, onboarding, training, or advisory services.
  • "Subscription Term" means the period for which Client has subscribed to the Services.
  • "Users" means Client's employees, contractors, or authorised representatives who are permitted to use the Platform.

2. Account Registration and Security

You are responsible for maintaining the confidentiality of your account details and for all activity carried out under your account. You agree to notify Propel immediately if you become aware of any unauthorised use or security breach.

3. User and Client Responsibilities

You agree to use the Services responsibly and in compliance with all applicable laws and regulations. You may not use the Services for unlawful, offensive, threatening, defamatory, or otherwise objectionable purposes.

Clients are responsible for:

  • The accuracy and legality of Client Data.
  • Obtaining any necessary consents for its processing.
  • Compliance with applicable laws and internal policies.

4. User Restrictions

Client shall not:

  • Copy, modify, or create derivative works of the Platform.
  • Reverse engineer, decompile, or attempt to extract source code.
  • Use the Platform to provide services to third parties.
  • Use the Platform for unlawful or infringing activities.

The Platform may integrate with third-party applications. Such use shall be governed by those providers' terms, and Propel is not responsible for their content or performance.

5. User Content

You are solely responsible for any content you submit, post, or transmit via the Services. You agree not to submit content that is unlawful, offensive, threatening, defamatory, or otherwise objectionable.

6. Access and Use

Client shall ensure that only authorised Users access the Platform. Login credentials are personal and may not be shared.

7. Intellectual Property

All content on the Services, including text, graphics, logos, and software, is owned by Propel or its content providers and is protected by copyright, trademark, and other intellectual property laws.

Propel IP: All intellectual property rights in the Platform, software, algorithms, documentation, and related materials remain the exclusive property of Propel or its licensors.

Client Data: Client retains all rights to Client Data. Propel may process such data solely to perform the Services and improve the Platform's functionality, in anonymised form.

Deliverables: Reports, learning dashboards, or materials jointly created shall be owned by the Client, with Propel retaining a perpetual, royalty-free licence to use anonymised or aggregated insights for research, analytics, and service improvement.

Feedback: Client grants Propel a non-exclusive, royalty-free, perpetual licence to use suggestions or feedback to improve the Services.

8. Operational Transparency and Service Notifications

Propel is committed to transparency and reliability in its operations. If there is a service disruption or degraded performance, affected customers will be notified promptly.

Maintenance: Propel will notify Client in advance of planned downtime and perform maintenance outside regular business hours when possible.

Support: Propel provides email and in-app support on working days (CET business hours). Severity-based response times are set out in the relevant service agreement.

9. Communication

  • Customers receive email notifications for any significant incident affecting performance or availability.
  • Users may also see in-platform notifications when logged in.
  • After service restoration, Propel provides a post-incident summary outlining the issue, its impact, and measures taken to prevent recurrence.

Propel may reference the Client's name and logo in client listings or proposals only with prior written consent. Any joint communication or press release must be approved by both Parties.

10. Confidentiality

Each Party agrees to:

  • Keep Confidential Information strictly confidential.
  • Use it only for purposes of the relevant agreement.
  • Not disclose it to third parties without written consent.

These obligations survive for three (3) years after termination.

11. Termination

Term: Any user agreement commences on the Effective Date and continues for the Subscription Term, unless terminated earlier.

Termination for Cause: Either Party may terminate immediately upon written notice if the other Party:

  • Materially breaches this agreement and fails to cure within 15 days after notice; or
  • Becomes insolvent or subject to liquidation proceedings.

12. Disclaimer of Warranties

Propel warrants that:

  • The Platform will perform substantially in accordance with its documentation.
  • It will perform Services with reasonable skill and care.

Except as expressly stated, the Services are provided "as is" and "as available" without warranties of merchantability, fitness for a particular purpose, or non-infringement.

13. Limitation of Liability

Propel is not liable for any direct, indirect, incidental, special, consequential, or exemplary damages resulting from the use of or inability to use the Services, even if Propel has been advised of the possibility of such damages.

14. Indemnification

By Propel: Propel shall defend and indemnify Client against claims alleging that the Platform infringes a third party's intellectual property right, provided Client promptly notifies Propel and cooperates fully in the defence. Propel may modify or replace the Platform to avoid infringement.

By Client: Client shall indemnify Propel against claims arising from Client's unlawful use of the Platform, violation of third-party rights, or non-compliance with data protection laws.

15. Force Majeure

Neither Party shall be liable for failure or delay due to causes beyond its reasonable control, including natural disasters, war, government action, or internet outages. Performance is suspended for the duration of the force majeure event.

16. Assignment, Subcontractors, and Notices

Assignment: Neither Party may assign this agreement without written consent, except to an Affiliate or successor in interest.

Subcontractors: Propel may use subcontractors or hosting providers (such as AWS) under equivalent confidentiality and data protection obligations.

Notices: Notices shall be in writing and delivered by email or registered post to the addresses specified in the relevant service agreement.

17. Dispute Resolution

If a dispute arises relating to these Terms, the Parties agree to first attempt to resolve it amicably. If this is not possible, the dispute will be submitted to binding arbitration under the laws of the Netherlands.

18. Updates to Terms of Service

We may modify these Terms at any time. Changes become effective once posted on the website or within the software. By continuing to use the Services after changes are made, you agree to the updated Terms.

19. Governing Law

These Terms are governed by and construed in accordance with the laws of the Netherlands.
